These Terms & Conditions ("Terms") govern your access to and use of the services provided by OptiFlow Build LLC, doing business as OptiFlow Build ("we," "us," or "our"), through our website at https://www.optiflowbuild.com and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and agree to comply with these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

OptiFlow Build is a workflow management platform designed for contractors and construction professionals. The Service includes:

• Customer Relationship Management (CRM) — manage contacts, bids, events, and follow-ups
• Permit lookup tools — jurisdiction-specific permit requirements, fees, and application guidance
• Permit preparation — document compilation, application pre-fill, and submission guidance (you submit the application yourself)
• File and photo management
• SMS-based notifications and workflow commands
• Bid tracking and status management
• Contractor tools and resources

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Responsibilities

You are responsible for:

• Providing accurate and complete information when creating your account
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access or security breach

You must not share your account credentials with others or allow multiple individuals to use a single account unless your subscription plan permits multiple users.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Transmit spam, unsolicited messages, or bulk communications
• Upload malicious software, viruses, or harmful content
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or extract data from the Service without permission
• Use the Service to harass, abuse, or harm others
• Misrepresent your identity or affiliation

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Payment & Subscriptions

Certain features of the Service require a paid subscription. By subscribing, you agree to the following:

• All payments are processed securely through Stripe
• Subscription fees are billed in advance on a monthly or annual basis
• Prices are subject to change with 30 days' notice
• You may cancel your subscription at any time through your account settings or Stripe's customer portal
• Cancellation takes effect at the end of the current billing period — no partial refunds are provided
• We reserve the right to offer free trial periods, which may be revoked or modified at our discretion

If payment fails, we may suspend access to paid features until the payment issue is resolved.

6. SMS Messaging Terms

By opting in to SMS communications from OptiFlow Build, you agree to the following:

• Message types: SMS messages are transactional and service-related. They include account notifications, job updates, appointment reminders, and customer support responses. We do not send marketing or promotional SMS messages.
• Message frequency: Message frequency varies based on your account activity and the features you use. You control which notifications trigger SMS messages through your account settings.
• Message and data rates: Standard message and data rates may apply depending on your mobile carrier plan. OptiFlow Build is not responsible for any charges from your carrier.
• Opt-out: You may opt out of SMS messages at any time by replying STOP to any message. After opting out, you will receive a one-time confirmation and no further SMS messages.
• Help: For assistance, reply HELP to any message or contact us at founder@optiflowbuild.com.
• Consent: SMS consent is not a condition of purchase or use of the Service. You may use the Service without opting in to SMS.
• Privacy: Your phone number and SMS consent information are not shared with third parties for marketing purposes. See our Privacy Policy for details.

Compatible carriers include but are not limited to AT&T, T-Mobile, Verizon, and Sprint. Carrier support may vary.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may experience downtime for maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, OptiFlow Build LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Permit Information & Preparation Disclaimer

The permit requirements, fees, timelines, and related information displayed through the Service are sourced from publicly available government fee schedules and official municipal websites. This information is provided for informational and document preparation purposes only.

You acknowledge and agree that:

• OptiFlow Build is not a licensed contractor, architect, engineer, or legal advisor. We do not provide licensed contracting services, engineering services, or legal advice.
• Permit fees shown are estimates based on published government fee schedules and may not reflect recent changes. Jurisdictions may update fees, requirements, or processes without notice.
• All permit approval decisions are made solely by the issuing jurisdiction. We do not guarantee that any permit application will be approved.
• OptiFlow Build does not pull permits on your behalf. Our Permit Preparation service compiles documents, pre-fills application forms, reviews completeness, and provides submission instructions. You are responsible for submitting the application and obtaining the permit through the official portal or office.
• You are solely responsible for verifying all permit requirements directly with your local building department before beginning any construction work.
• OptiFlow Build is not liable for any fines, penalties, project delays, or damages resulting from reliance on permit information displayed through the Service.

10. Termination

You may terminate your account at any time by contacting us or using the account deletion feature. We may terminate or suspend your access to the Service at our discretion if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service, other users, or our business.

Upon termination, your right to use the Service ceases immediately. You may request an export of your data before termination. After termination, we will delete your data in accordance with our Privacy Policy.

11. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by OptiFlow Build LLC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our written consent.

You retain ownership of the data and content you upload to the Service. By uploading content, you grant us a limited license to store, process, and display it solely for the purpose of providing the Service to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless OptiFlow Build LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Kansas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in the State of Kansas.

14. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. For significant changes, we will make reasonable efforts to notify you via email or in-app notification.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
