1. Acceptance of Terms

By accessing or using OptiBuild ("the Service"), operated by OptiBuild LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

OptiBuild is a web-based software platform providing permit navigation, contractor CRM tools, bid management, and related services for contractors operating in the Kansas City metropolitan area. The Service includes both free and paid subscription tiers.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

Free Tier: Limited access to CRM features with usage caps (10 contacts, 10 bids, 5 permit lookups/month).

Pro Tier ($49/month or $468/year): Unlimited access to all features. Includes a 7-day free trial.

• Payments are processed through Stripe. By subscribing, you also agree to Stripe's Terms of Service.
• Subscriptions auto-renew unless canceled before the end of the current billing period.
• You may cancel at any time through your account settings or the Stripe billing portal.
• Refunds are handled on a case-by-case basis. Contact us at support@optibuild.app.
• If payment fails, your account may be downgraded to the Free tier.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to other users' data or accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Upload malicious files or content
• Resell or redistribute access to the Service

6. Data and Content

Your Data: You retain ownership of all data you enter into the Service (contacts, bids, files, etc.). We do not claim any intellectual property rights over your content.

Our Data: Permit information, jurisdiction data, and toolbox content provided by OptiBuild is sourced from official government websites and public records. While we strive for accuracy, we do not guarantee the completeness or timeliness of this data. Always verify requirements directly with your local jurisdiction.

Data Portability: Pro users may export their data at any time. If you cancel your subscription, your data will remain accessible in read-only mode for 30 days before being archived.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Permit information is 100% accurate or up to date
• The Service will meet all of your requirements

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIBUILD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless OptiBuild LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Jackson County, Missouri.
